Terms of use

These terms apply to the ciyora.com website and to Ciyora Fabric, including Ciyora Console, Ciyora Client, the Ciyora mobile app, the Ciyora modules and Zara (together, the "Service"), provided by Zpoa Inc., a Delaware corporation ("ZPOA", "we", "us"). For customers in India, Ciyora is sold, invoiced and supported by Qiaben Healthcare Solutions Pvt Ltd, the India Authorized Partner of Zpoa Inc. ("Partner"): the customer's agreement and invoices are with the Partner, and ZPOA provides the Service. If your organization has signed an agreement for the Service, that agreement governs your use of the Service, and these terms apply only to the extent it does not cover a point.

1. Accounts and authorised users

The Service is provided to organizations. The customer is responsible for the people it authorises to use the Service, for keeping sign-in credentials secure, and for the configuration it chooses, including single sign-on, roles, retention periods and monitoring settings.

2. Acceptable use

You must not, and must not allow anyone else to:

• use the Service in breach of applicable law, including data protection and employment law;
• use Ciyora Monitor to monitor people without the notice and lawful basis that applicable law requires;
• probe, scan or test the Service's security except under our responsible disclosure process;
• attempt to access another tenant's data or interfere with the Service's operation; or
• copy, resell or reverse engineer the Service except where law expressly permits it.

3. Customer data

The customer owns the data it brings into the Service. We process it only to provide, secure and support the Service, as described in our privacy notice and in the data processing terms of the customer's agreement. The hosted Service keeps customer data in India: hosted in India · data stays in India. Self-hosted deployments keep customer data in the customer's own environment.

4. Zara and AI features

Zara and the agents in Ciyora Neural Mesh produce suggestions from your tenant's data. They can be wrong. You remain responsible for reviewing their output before you act on it, and for the autonomy level you set for each agent.

5. Fees and taxes

Fees are set out in the order form or on our pricing page. Prices shown on the website exclude applicable taxes, which are added to invoices: for customers in India, the Partner invoices in rupees with GST; for customers in the United States, ZPOA invoices in US dollars with sales tax where it applies.

6. Availability and changes

We work to keep the Service available and secure, and may change or improve it over time. Any service level commitment is set out in the customer's agreement. We will give reasonable notice before removing a material feature that a customer is paying for.

7. Intellectual property

ZPOA owns the Service, the Ciyora and Ciyora Fabric names and this website. Nothing in these terms transfers those rights to you. Feedback you give us may be used to improve the Service.

8. Disclaimers and liability

No security product can prevent every incident. Except as stated in a signed agreement, the Service and this website are provided "as is", and to the extent permitted by law we are not liable for indirect or consequential loss. Our total liability is limited as set out in the customer's agreement.

9. Suspension and termination

We may suspend access that threatens the security of the Service or other customers, and will tell the customer promptly. On termination, customer data is returned or deleted as agreed.

10. Governing law

For customers in India, these terms are governed by the laws of India and the courts of India have jurisdiction. For customers in the United States, the governing law and courts are those named in the signed agreement or order form. In both cases this is subject to any dispute resolution clause in a signed agreement.
