Company Compliance

Company Compliance keeps the corporate records of US C corporations, S corporations, LLCs and nonprofits. It holds the entity master, directors and officers, the cap table, and board, committee and stockholder meetings with minutes. A compliance calendar lists state annual reports, franchise taxes and federal and state payroll filings with due dates, and HR compliance reporting draws on People.

Who uses it

  • Compliance admins own the entity master, directors and officers, equity, meetings, filings and settings.
  • Outside counsel work on the same records, keep review notes and see a console across their client companies.
  • Directors read meeting papers and minutes, sign unanimous written consents, and sign off filings.
  • CPAs have read-only access to the entity, equity, financials and calendar, and can leave review notes.

Before you start

  • Switch Company Compliance on for your company. See the Quick start.
  • Have your formation documents, state of formation, EIN, registered agent and principal office details ready.
  • Gather your directors, officers and their appointment dates, and your stock issuances, transfers and option grants to date.
  • If Books is on, financial figures for annual reports and franchise taxes are read from it. If People is on, officers who are employees and your payroll tax accounts can be linked.

Set up

  1. Complete the entity master. Choose the entity type (C corporation, S corporation, LLC or nonprofit), enter the state of formation, EIN and principal office, and add the registered agent for each state.
  2. Add foreign qualifications. Record each state where the entity is registered to do business, with its registered agent and annual report cycle.
  3. Add directors and officers. Enter each director and officer with their appointments over time and roles.
  4. Load the cap table. Add share classes and stockholders, then enter issuances, transfers and option pool grants in date order. Record each 409A valuation date. The stock ledger and cap table are built from these.
  5. Generate the calendar. The compliance calendar is created from your entities and states, covering state annual reports, franchise taxes, Forms 941, 940, W-2 and W-3, state withholding and SUI wage reports and Forms 1099. Ask your counsel or CPA to review due dates in settings.
  6. Invite people. Invite your outside counsel and your CPA into the same records, and give directors access.
  7. Add licences and registrations. Record state withholding and SUI accounts, sales tax permits and business licences with renewal dates and reminders.

Key workflows

Hold a board meeting

  1. Create the meeting for the board, a committee or the stockholders.
  2. Build the agenda from standard items and your own, and attach board papers.
  3. Send the notice. The app checks the notice period set in your bylaws or operating agreement.
  4. On the day, record attendance; quorum is checked against your governing documents.
  5. Record resolutions and the votes on each.
  6. Draft the minutes, circulate them for comments and have the secretary sign. Signed minutes are locked.
  1. Prepare the consent and send it to all directors or stockholders through Documents for e-signature.
  2. Signers review and sign on the web or mobile.
  3. The app records the effective date once every signature is in, and files the consent with the minute book.

Keep filings on time

  1. Review items due in the next 30 days on the dashboard or calendar.
  2. Prepare each filing; its status moves from due to prepared, approved and filed.
  3. Send it to an officer for sign-off through the approval engine.
  4. File with the state or IRS, then record the confirmation number, date and fees paid. Reminders continue weekly while an item is overdue.

Record a stock issuance

Enter the class, number of shares, price, holders and the approving board action. The app checks authorized shares and updates the cap table, and option grants draw down the option pool with the latest 409A valuation date shown.

HR compliance reporting

From People data, the app tracks Form I-9 completion and reverification reminders, prepares EEO-1 Component 1 data, works out Applicable Large Employer status under the ACA with Forms 1094-C and 1095-C data, and lists hires due for state new-hire reporting.

United States specifics

The app keeps records for corporations, LLCs and nonprofits formed in any state, with foreign qualifications and registered agents per state. State annual report and franchise tax due dates and fees are stored as data for each state, so a compliance admin can review and update them. Filings are made on the state and IRS portals; the app tracks status and keeps the confirmation number with each filing.

Works with other apps

  • People: officers linked to employees, equity grants, payroll tax accounts and HR compliance data.
